Paralegal (LATAM & The Caribbean)
BA Global Talent is seeking a detail-oriented and highly organized Paralegal in Latin America & The Caribbean to support a U.S.-based law firm specializing in private investment funds and corporate matters. In this role, you will work closely with U.S.-licensed attorneys to prepare, revise, and manage complex legal documentation, playing a critical role in delivering accurate, client-ready work across fund formation, corporate, and regulatory processes.

Responsibilities:
Fund Offering & Investor Documents
Prepare, edit, and format private fund documentation such as Private Placement Memoranda (PPMs), limited partnership agreements, LLC operating agreements, subscription agreements, investor questionnaires, and ancillary agreements
Create first drafts of fund documents using Firm templates and client questionnaires, ensuring accuracy, internal consistency, and clean, client-ready drafts
Update finalized offering documents for amendments, re-launches, or additional closings, including re-dating, renaming, cross-reference updates, and final PDF preparation
Delaware Series Structures & SPVs
Assist with documentation related to Delaware series partnerships or LLCs
Support formation and documentation of special purpose vehicles (SPVs) used in fund and co-investment structures
Corporate & Entity Matters
Support basic corporate matters such as entity formations (LLCs, LPs, corporations)
Prepare standard operating agreements, partnership agreements, amendments, name changes, address changes, and other administrative updates
Coordinate document updates for clients undergoing structural, branding, or administrative changes
Document Revisions & Iterative Drafting
Implement second and third drafts based on attorney markup and client feedback
Update service provider information, complete common bracketed provisions, and ensure consistency across multi-document sets
Regulatory & Disclosure Support
Assist with preparation of NFA Disclosure Documents, including section re-ordering, adding required disclaimers and placeholders, and updating tables of contents and cross-references
Support marketing and compliance reviews by issue-spotting for common deficiencies and drafting standard disclaimers under supervision
Side Letters & Ancillary Drafting
Draft simple investor side letters from Firm templates, subject to attorney review and approval
Document Automation & Legal Technology
Support the Firm’s document automation initiatives by testing templates, comparing automated outputs against standard forms, and collaborating with attorneys and consultants to refine workflows
Maintain high standards of accuracy and consistency across automated and manually generated documents
Requirements:
Completed Law Degree
Not licensed to practice law in the United States (or not functioning as a U.S. attorney)
3+ years of experience in a paralegal or legal support role
Prior experience working in a law firm or in-house legal department
Experience with private investment funds, asset managers, or corporate/transactional documentation preferred
Strong written English skills, including technical and legal writing
Experience supporting U.S.-licensed attorneys in a non-attorney capacity
Experience handling document revisions, iterative drafting, and multi-document sets
Advanced proficiency in Microsoft Word (including complex formatting, styles, redlining, and document comparison)
Experience with document automation software (preferred)
Qualifications:
Strong substantive understanding of private investment fund and corporate documentation
Exceptional document drafting, editing, formatting, and proofreading skills
Outstanding attention to detail and accuracy
Ability to follow templates, processes, and attorney supervision closely
Ability to manage multiple document sets simultaneously and meet deadlines
Professional judgment to identify issues and escalate appropriately to supervising attorneys
Strong organizational skills and ability to ramp up with increasing workload
Comfortable working remotely and coordinating across time zones
Time Zone: U.S. time zones
Schedule: Part-Time, with the possibility of transitioning to Full-Time
